A. Introduction

The below Terms and Conditions shall govern all banking transactions and services as well as business relations of Credit Lyonnais Bank Slovakia (the „Bank“) and its Client in order to create unequivocal basis for the mutual relationship. The Terms and Conditions shall be considered an integral part of each individual agreement between the Bank and the Client, in compliance with Article 273 of the Commercial Code of the Slovak Republic, No. 513/1992 Coll., as amended (The "Commercial Code"). Upon request each Client shall receive a copy of the Terms and Conditions and is entitled to review those at the commercial premises of the Bank at Klemensova 2/A, 81109 Bratislava, Slovak Republic.

In addition to the Terms and Conditions the Bank shall provide information on deposit protection and on conditions for deposit and loan administration and all other bank services and their price list including examples introduction in compliance with the Act No. 118/1996 Coll. (The “Act on Deposit Protection”) and the Act No. 483/2001 Coll. (The "Banking Act").

In the case the terms and conditions of an individual agreement differ from the Terms and Conditions, the agreement is governed by the terms of such individual agreement. Any matter not covered by individual agreements between the Bank and the Client is governed by these Terms and Conditions. The case which is not covered by neither any agreement nor Terms and Conditions is governed by the provisions of “General terms and conditions, which set guidelines for maintenance of the clients’ accounts in the banks and guidelines for payment transfers and clearing on those accounts from 7.12.1993” as amended, published in Official Journal of National Bank of Slovakia – part 1/1994.

If the terms of the Uniform Customs and Practice for documentary credits and International guidelines for interpretation of delivery conditions (INCOTERMS) by the International Chamber of Commerce ("ICC"), which govern an individual transaction or delivered service, differ from these Terms and Conditions, the terms of such ICC rules shall govern.

Any matter not covered by the respective individual agreement, any applicable ICC rules, these Terms and Conditions, nor the general terms and conditions shall be governed by the provisions of relating legislation in the Slovak Republic.
